Terms of Service
These documents are provided as a good-faith starting point. They have not been reviewed by a licensed attorney. If you are building on LoopTrading commercially, or have specific legal questions, please consult a qualified lawyer in your jurisdiction before relying on this text.
1. Acceptance of Terms
By creating an account, accessing, or using LoopTrading ("Service"), you ("User", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service. These Terms form a binding legal agreement between you and LoopTrading ("we", "us", the "Company").
2. Description of Service
LoopTrading is a software platform that allows users to configure automated trading strategies ("bots") that interact with third-party cryptocurrency exchanges (such as Binance.US, Coinbase, and Kraken) on the user's behalf via the user's own API keys.
- We do not hold custody of your funds. All assets remain in your exchange account at all times. We never request, receive, or store withdrawal permissions on your API keys.
- We do not provide investment, financial, legal, or tax advice. The Service is purely a software tool. Strategy decisions, parameter choices, and risk tolerance are entirely your responsibility.
- We are not a broker, dealer, exchange, investment adviser, or fiduciary. We do not execute trades; we send authenticated API requests to your chosen exchange, which executes them according to its own rules.
3. Eligibility
You represent that you are:
- At least 18 years of age (or the age of majority in your jurisdiction);
- Legally permitted to use cryptocurrency trading services in your jurisdiction;
- The lawful owner of any API keys you connect to the Service;
- Not subject to any U.S. or international sanctions list, and not located in any jurisdiction subject to comprehensive U.S. sanctions.
4. Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials;
- Configuring exchange API keys with the minimum permissions required (typicallyview and spot trade; never enable withdrawals);
- Enabling two-factor authentication on your exchange accounts;
- All activity that occurs under your account, including activity by bots you configure.
We store your API secrets encrypted at rest. We will never display or transmit a plaintext secret back to you after you save it. If you suspect a key has been compromised, revoke it on the exchange immediately and rotate it here.
5. Risk Disclosure
Cryptocurrency trading is high-risk. You can lose your entire deposit.
By using the Service you acknowledge and accept that:
- Crypto markets are volatile, often illiquid, and operate 24/7;
- Automated strategies can lose money, including substantial amounts, especially during sustained downtrends or flash crashes;
- Past performance — including backtests and sandbox simulations — does not guarantee future results;
- Exchange outages, API failures, rate limits, network issues, and software bugs may prevent your bot from acting at expected times;
- You are solely responsible for the configuration and consequences of every bot you create.

6. Fees, Subscriptions, and Performance Fees
LoopTrading offers two billing plans, selected at signup and changeable at any time in your account settings:
- Subscription plan. A flat recurring fee of US $99 per month for use of the Service. The subscription auto-renews each month until cancelled. You may cancel at any time from your account settings; access continues through the end of the current paid period.
- Performance-fee plan.No recurring subscription fee. Instead, you authorize us to charge a performance fee equal to ten percent (10%) of your net realized trading profit, calculated over successive 30-day billing cycles. “Net realized profit” means the sum of realized profit and loss from closed trading cycles during the billing cycle, after deducting exchange trading fees. If a billing cycle is flat or results in a net loss, no performance fee is charged for that cycle, and net losses are carried forward to offset net profit in subsequent cycles before any fee is assessed.
Minimum charge and rollover. A performance fee is charged only once the amount due reaches a minimum of US $5.00. Amounts below that minimum are carried forward and accumulate across billing cycles until the threshold is met, at which point the accumulated fee is charged.
Payment method. Both plans require a valid payment method on file, collected at signup. By providing it you authorize us, through our payment processor Stripe, to charge the applicable subscription fee or performance fee as described above. Payments are processed by Stripe; we do not store full payment card information.
Switching plans. You may switch between the subscription and performance-fee plans at any time in your account settings. Switching from the performance-fee plan to the subscription plan first settles any performance fee accrued up to the moment of the switch.
Performance fees are charged for use of the software Service only and do not constitute investment management, advisory, brokerage, or custodial services. We never take custody of your funds or assets, which at all times remain in your own connected exchange accounts. All fees are exclusive of any applicable taxes, which are your responsibility. Fees and rates may change on prior notice; changes do not apply retroactively to a billing cycle already in progress.
7. Acceptable Use
You agree not to:
- Use the Service for illegal activity, money laundering, market manipulation, or to evade sanctions;
- Attempt to gain unauthorized access to other users' accounts or our systems;
- Probe, scan, or test the vulnerability of the Service without our prior written consent;
- Interfere with the Service's operation (denial of service, scraping at abusive rates, etc.);
- Reverse-engineer, decompile, or otherwise attempt to extract source code.
8. Intellectual Property
The Service's code, design, trademarks, and content are owned by LoopTrading or its licensors. You receive a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You retain ownership of your own data (bots, configurations, trade history) and grant us a license to process it solely as needed to operate the Service.
9. Termination
You may terminate your account at any time from your settings page. We may suspend or terminate your account, with or without notice, if you violate these Terms, fail to pay subscription fees, or if continued service creates legal or security risk to us or other users. Upon termination, your bots will be stopped, and your data may be deleted after a reasonable retention window. Open positions on your exchange remain your responsibility.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available," without warranty of any kind. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any bot will achieve any particular outcome.
11. Limitation of Liability
To the maximum extent permitted by law, LoopTrading and its officers, employees, contractors, and agents shall not be liable for:
- Any indirect, incidental, consequential, special, exemplary, or punitive damages;
- Any loss of profits, revenue, data, goodwill, or trading positions;
- Any losses resulting from market movements, exchange behavior, third-party actions, software bugs, downtime, or your own configuration decisions.
Our total cumulative liability to you arising from or related to the Service is limited to the greater of (a) the amount you paid us in subscription fees in the twelve months preceding the event giving rise to the claim, or (b) USD $100.
12. Indemnification
You agree to indemnify and hold harmless LoopTrading from any claim, loss, or expense (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
13. Modifications
We may modify these Terms at any time. Material changes will be announced via email and/or in-app notification. Continued use after the effective date of any change constitutes acceptance of the revised Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of [TO BE COMPLETED], United States, without regard to its conflict-of-laws principles. Disputes shall be resolved by binding arbitration administered by the American Arbitration Association in [TO BE COMPLETED], on an individual (not class) basis. You waive any right to participate in a class action against us.
